Society for Corporate Governance Announces Leadership Transition
Society Senior Executive Andrew Fitzsimons Appointed Interim CEO;
Governance Expert and Previous Society Board Chair Doug Chia Appointed as Strategic Advisor to Interim CEO
New York (July 20, 2023) – The Society for Corporate Governance, Inc. (the "Society"), the leading organization for Corporate Governance in the United States, today announced that Andrew Fitzsimons has been appointed Interim President and CEO, effective immediately. Mr. Fitzsimons is an experienced leader who has served as the Society’s Chief Operating Officer (COO) since 2019. To assist with the transition and provide advice and guidance on policy, governance and advocacy matters, Doug Chia, a well-known governance expert and previous chair of the Society’s Board of Directors (the “Board”), has also been appointed as Strategic Advisor to the Interim CEO.
Mr. Fitzsimons is succeeding Christina Maguire, who is leaving the organization to pursue other opportunities. The Board is grateful for her service and accomplishments during her tenure at the organization and has commenced a comprehensive search process to identify candidates for the permanent role, with the support of Russell Reynolds.
“The Board is excited to have Andrew lead our organization during this time of growth and change in our industry,” said Keir Gumbs, Chair of the Society’s Board. “We are confident that the combination of his experience and significant operational capabilities, complemented by Doug’s deep knowledge of corporate governance and the organization, makes them the perfect pair to guide the Society while our search process for a permanent CEO is underway. We remain committed to serving our growing national network of members and seeking to be a positive force for corporate governance excellence.

In his COO capacity, Mr. Fitzsimons has overseen substantially all operational aspects of the Society, including membership, events, sponsorships, finance, DEI, human resources and technology strategies. Before joining the Society, Mr. Fitzsimons held a number of global roles in the financial services industry, including serving as Chief Administrative Officer, Legal, at Bank of New York Mellon and Chief Operating Officer of Legal, Compliance and Business Ethics at Prudential Financial.

We are well positioned as we move forward,” said Mr. Fitzsimons. “I believe strongly in the organization’s mission to shape corporate governance through education, collaboration and advocacy, and look forward to leading the Society through this transition period and welcoming new permanent leadership in the near future.”
Mr. Chia currently serves as a Senior Fellow at the Rutgers Center for Corporate Law and Governance and was formerly Executive Director of The Conference Board Governance Center and Assistant General Counsel and Corporate Secretary of Johnson & Johnson.
“I’m excited to act as Strategic Advisor as we embark on the next phase of the Society’s evolution. I have tremendous respect and affection for the organization and its mission and look forward to advising Andrew and the Society staff during this transition period,” said Mr. Chia.
